Crystal Palace could be liquidated unless the group trying to buy the club can seal a deal by 1500 BST on Tuesday.

CPFC 2010 has been given the deadline by Agilo, the hedge fund that put the Eagles into administration in January.

The group has agreed terms on a deal to buy the club but will not proceed until they secure Selhurst Park, which is being sold by Bank of Scotland.

But a statement from CPFC 2010 on the Palace website says the deal presented by the bank is "unworkable".

CPFC 2010, a group of local businessmen headed by Palace fans Steve Parish and Martin Long, were named as the administrators' preferred bidders in March.

However, with the deadline to buy the club now looming, the Championship club could be no more if the consortium fails to reach an agreement to buy Selhurst Park.

The statement read: "We are trying to acquire both Crystal Palace Football Club and Selhurst Park.

"Everyone would agree Selhurst Park is pivotal to the long-term future of the club and CPFC 2010 have always made it clear they will not proceed without securing it.

"We reached what we thought was an agreement with Bank of Scotland, who are the major creditor of Selhurst Park Ltd.

"Subsequent to this agreement we have been sent a contract that does not reflect this agreement and is unworkable."

The sticking point in the negotiations appears to be over how much money the bank would receive if Selhurst Park was re-sold in the future.

Bank of Scotland have agreed to sell the ground to CPFC 2010 for a price lower that what a property developer may be prepared to pay but has asked for a share of any profit if it was sold again.

The consortium claim they have agreed to an "anti-embarrassment clause that allows the bank to see a further return if we realise greater value from the ground in the future."
However, the two parties now seem to disagree on how much that "further return" would be.

The statement continued: "It seems that the bank want to make an unlimited return in the future even if that value is created on the back of the success of the football club or money we have invested in a new infrastructure.

"We believe that the maximum they should make is the difference between what we will pay for the land as a football ground and what a property developer will pay now as a development opportunity plus interest."

The statement concludes by saying: "Bank of Scotland is currently government owned. As such we would urge the new Prime Minister to intervene personally to resolve the situation or see a club supported by many thousands, and with a 100-year history, consigned to the scrapheap."

Palace avoided relegation from the Championship on the final day of the season with a 2-2 draw at Sheffield Wednesday that condemned the Owls to League One.

The club currently does not have the money to pay its staff their wages for May and on Friday made 29 people redundant.

Fans were planning to hold a demonstration at Selhurst Park on Monday to highlight the club's plight.

Crystal Palace have been saved from extinction after an agreement in principle was reached for CPFC 2010 to buy the club and Selhurst Park.

Administrator Brendan Guilfoyle gave them until 1500 BST on Tuesday to reach agreement with Lloyds Bank or he would start to liquidate the club.

Hundreds of fans protested outside the bank's offices prior to the deadline.

But an 11th hour deal was reached with CPFC 2010, which is headed by Palace fans Steve Parish and Martin Long.

A statement from Lloyds Bank read: "Stadium administrator Pricewaterhousecoopers has reached an agreement in principle with CPFC 2010 in relation to the sale of Selhurst Park.

"This enables the consortium to go ahead with the purchase of both the Crystal Palace Football Club and Selhurst Park."

Problems arose over the takeover when the Bank of Scotland - part of the Lloyds group - agreed to sell the ground to CPFC 2010 for a price lower than a property developer would have been prepared to pay but then asked for a share of any profit if it was sold again.

The consortium agreed, but thought there should be a cap on that potential "further return" if it was a result of Palace having success on the pitch or ploughing more money into their infrastructure.

Before the announcement, administrator Brendan Guilfoyle said he had already received bids from other clubs to buy Palace players despite CPFC 2010 indicating its offer would be withdrawn if players were sold.

Consortium sign Crystal Palace deal with administrator

http://news.bbc.co.uk/sport1/hi/football/teams/c/crystal_palace/8727153.stm

The deal which should secure Crystal Palace's future has been legally agreed and signed by the club's administrator and the new owners, CPFC 2010.

Palace were saved from liquidation last week when the consortium agreed in principle to buy the Championship outfit and their Selhurst Park ground.

"Each football club has a share in the Football League," said the club's administrator Brendan Guilfoyle.

"And in essence we have agreed to transfer that share to the new owners."

It is hoped completion of the deal will happen by the end of July once the Football League's insolvency policy has been fully complied with and their due diligence completed.

Guilfoyle had given the Eagles until 1500 BST on Tuesday, 1 June to reach an agreement with Lloyds Bank or he would start to liquidate the club, but a deal was struck at the 11th hour with CPFC 2010, a consortium headed by Palace fans Steve Parish and Martin Long.

"Achieving this sale has been a balancing act between four parties - the stadium administrator, the secured creditor Agilo, other creditors and the Football League who need to be satisfied that the deal meets their requirements," Guilfoyle added.

Palace avoided relegation from the Championship on the final day of the season with a 2-2 draw at Sheffield Wednesday that condemned the Owls to League One.

The club was docked 10 points for going into administration in January before then manager Neil Warnock left to join QPR and star striker Victor Moses was sold to Wigan.

Guilfoyle's main job on taking over at the ailing club was to secure funding for the costs of the administration to run the club while at the same time looking for buyers to agree a sale.

Agilo agreed to fund the running costs with a cash injection of £1m, despite already being owed £4.5m by the club, while Guilfoyle also admitted he had reduced his own fees to boost the deal.

"All the parties in this deal have recognised they will be paid back more if they can find a rescue deal that works, rather than shutting down the club forever. We and our lawyers have played our own part by reducing our fees to enable the deal to go through."

Crystal Palace set to exit administration

http://news.bbc.co.uk/sport1/hi/football/teams/c/crystal_palace/8850376.stm

Crystal Palace are on the verge of coming out of administration.

The deadline to appeal against Palace's Company Voluntary Agreement passed at 1600 BST with none of the club's creditors making an objection.

That means Steve Parish's CPFC 2010 consortium can apply for a transfer of Palace's Football League share and take full control of the club.

"This is now the beginning of the end of the rescue of Crystal Palace," said administrator Brendan Guilfoyle.

"I would like to say a special thank you to Steve Parish.

"Without his determination and tenacity it would not have been possible to resolve the many difficulties that arose during such complex and lengthy negotiations."

Palace entered into administration in January and were automatically docked 10 points, with the club's place in the Championship only being secured on the last day of the season with a 2-2 draw at Sheffield Wednesday.

Palace were one of a number of clubs that went into administration last season, most notably Portsmouth - the first Premier League club to suffer that fate.

A number of English teams are in financial difficulties as Her Majesty's Revenue and Customs adopts a tougher stance on unpaid tax bills, with Sheffield Wednesday becoming the latest club to be served with a winding-up order by HMRC on Friday.

Crystal Palace come out of administration

http://news.bbc.co.uk/sport1/hi/football/teams/c/crystal_palace/8930854.stm

Crystal Palace have confirmed they are out of administration.

The south London outfit entered into administration in January and narrowly avoided relegation to League One after being docked 10 points as punishment.

But a statement on the club's website has revealed the Football League has now accepted the club's new owners - Steve Parish's CPFC 2010 consortium.

The news not only marks an end to the rescue process but also results in the lifting of the club's transfer embargo.

"It is a relief to get to the end of what has been a long and complex procedure," said administrator Brendan Guilfoyle.

"For everyone at the club and, of course, the fans, this is the future."

Signs that all was not financially well at Selhurst Park first appeared in the summer of 2009 when the club were placed under a transfer embargo for not meeting a transfer payment.

Two months later, players' wage payments were delayed due to the cashflow problems of former chairman and owner Simon Jordan.

Jordan, who had saved the club from administration when he took over in 2000, had announced his intention to sell the club in 2008.

But when a sale failed to materialise, and with debts at around £30m, Sheffield firm P&A Partnership were appointed as administrators in late January 2010.

The resulting 10-point penalty deduction meant the club dropped from ninth place in the Championship to two spots above the drop zone.

But despite a painful administration process, during which highly-rated teenage striker Victor Moses was sold to Wigan, manager Neil Warnock left to join Queens Park Rangers, and 29 staff were made redundant, Palace - under new boss Paul Hart - stayed up thanks to last-day draw at Sheffield Wednesday.

In June, an agreement was reached for CPFC 2010, headed by fans Parish and Martin Long, to buy the club and its Croydon ground.

The deadline to appeal against Palace's Company Voluntary Agreement passed on 23 July with no creditors lodging an objecting.

And with Crystal Palace FC (2000) Limited now being replaced in the Football League by CPFC 2010, the end of a highly precarious and fraught time for the 105-year-old club has officially arrived.

Parish said: "We would like to thank Brendan and P&A for their expertise, diligence and hard work.

"The fact that Crystal Palace lives to fight another day is in no short measure due to their efforts."

Under new manager George Burley, Palace have begun this season's league campaign with a win and a loss, and are attempting to persuade Dutch legend Edgar Davids to join their playing ranks.
